This Client Subscriber Agreement, together with any booking confirmation, invoice, payment terms, cancellation policy, privacy notice, code of conduct, non-circumvention terms and platform policies incorporated by reference, is a legally binding agreement between Musicato ("Musicato", "Platform", "Company", "we", "us" or "our") and each Client who registers, accesses, books, pays for, requests, receives or otherwise uses Musicato's website, mobile application, booking system, marketplace, communication channels, payment features or related services (the "Application" or "Services").

By creating an account, clicking "I agree", submitting a booking request, confirming an event, making payment, communicating through the Platform or otherwise using the Services, the Client confirms that it has read, understood and agreed to be bound by this Agreement. Where the person accepting this Agreement acts on behalf of a company, family office, agency, event organiser, corporate entity, religious body, public institution or other organisation, that person represents that they have authority to bind that organisation.

"Client" means any person or entity seeking to book live music, entertainment, performance, training, musical direction or related services through Musicato, including its representatives, agents, assigns, successors-in-title, executors and administrators.

"Artiste" means any independent musician, vocalist, instrumentalist, conductor, arranger, choir, orchestra, band, DJ, music educator, performer or creative professional made available through Musicato.

"Subscriber" means any registered or approved user of the Platform, including a Client, Artiste or authorised representative.

"Booking" means any request, quotation, confirmation, engagement, performance, rehearsal, audition, event or related service arranged through the Application.

"Event" means the occasion for which an Artiste is booked.

"Platform Fee" or "Commission" means Musicato's service charge, administrative fee or commission.

"Musicato Client" means any client, lead, prospect, contact or relationship introduced, sourced, managed, serviced or developed by Musicato.

Musicato operates a premium online marketplace, booking and artiste-management platform that connects Clients with verified musical performers and related professionals for private, corporate, governmental, diplomatic, religious, cultural, luxury, educational and social events.

Musicato acts as a premium marketplace, booking coordinator and platform provider. Except where Musicato expressly agrees otherwise in a separate signed document, Musicato does not itself provide live musical performances and does not employ Artistes. Artistes are independent contractors responsible for the professional delivery of their approved services.

Each Subscriber acknowledges that Musicato has invested substantial resources in brand development, client acquisition, marketing, recruitment, verification, quality control, logistics, technology, business development and platform administration. This Agreement is intended to protect those commercial interests while creating clear obligations for Clients and Artistes.

Subscribers may register as Clients, Artistes, representatives of Artistes or representatives of clients such as corporate users, event organisers, managers or administrators. Each Subscriber must provide accurate, current and complete information and must promptly update such information where it changes.

Each Subscriber represents and warrants that they have legal capacity to enter into this Agreement; that account information, identity details, credentials, portfolio materials, tax information, bank details, references and qualifications supplied are true and verifiable; and that they will comply with all applicable laws, regulations, venue rules, payment rules and platform policies.

Musicato may verify identities, credentials, references, qualifications, work history, portfolios, payment details and other information at any time. Failure to provide requested information, provision of false information, or inability to verify essential information may result in refusal of registration, suspension, withholding of payouts, cancellation of bookings or termination.

Clients shall use the Application only for lawful bookings, providing complete and accurate event information including date, time, venue, format, guest capacity, expected audience, performance duration, technical requirements, security arrangements, dress code, access instructions, parking arrangements, special protocols, cultural or religious sensitivities and weather or outdoor-event considerations.

Clients shall not use Musicato for illegal activities, unsafe events, events that violate venue regulations, or events involving fraud, harassment, discrimination, abuse, threats, unlawful payments, money laundering, weapons or prohibited substances.

Clients are responsible for securing the venue, permits, licences, power supply, access passes, staging, sound equipment, accommodation, travel support, security, parking, backstage facilities, hospitality, weather protection and other event conditions unless Musicato expressly agrees in writing to coordinate any such item.

Clients shall not solicit, induce or engage with Artistes outside the Application in respect of any Musicato-introduced relationship, booking, referral or future opportunity.

All bookings must be requested, negotiated, confirmed, paid for and managed through the Application or an authorised Musicato communication channel.

Bookings remain unconfirmed unless and until Musicato issues written confirmation, the required deposit or full payment has been received, essential booking details have been approved, and any additional conditions have been satisfied. Musicato may decline, cancel or refuse any booking request that is incomplete, unsafe, unlawful, commercially impracticable or otherwise unsuitable.

Clients shall not solicit, induce, engage, pay, contract with or communicate with any Musicato-introduced Artiste outside the Platform for the purpose of avoiding Musicato's commission, platform fees, booking processes or client-protection procedures.

Clients shall pay all booking fees, deposits, balances, overtime charges, reimbursable costs, taxes, withholding obligations, payment processor charges, bank charges, currency conversion fees and transaction charges in accordance with the applicable booking confirmation or invoice. Unless otherwise agreed in writing, any outstanding balance must be paid before the event date.

All payments relating to bookings must be made through Musicato or its approved payment processor. Clients shall not pay Artistes directly, offer separate compensation, or arrange substitute payment channels unless expressly authorised in writing by Musicato.

Payments may be processed through third-party payment gateways, banks, card processors or mobile money providers. Musicato is not responsible for delays, reversals, failed transfers, chargebacks, fraud controls or bank charges imposed by third-party providers, except where caused by Musicato's proven misconduct.

Musicato may require a non-refundable booking deposit to reserve an Artiste. Failure to pay a required deposit within the stipulated period may result in automatic cancellation of the booking. Deposits, platform fees, processor charges and documented costs already incurred are non-refundable unless Musicato states otherwise in writing.

Cancellation, postponement, rescheduling and refund consequences shall be determined by the booking confirmation, applicable cancellation table, timing of cancellation, costs already incurred, and other circumstances. Refunds are not automatic and are assessed case by case.

Requests to postpone or reschedule must be submitted promptly in writing and are subject to Artiste availability, venue feasibility, payment status and Musicato's approval. Musicato does not guarantee Artiste availability on a revised date.

Clients shall ensure the venue, access arrangements, security, staging, power supply, sound equipment and other event conditions are safe, lawful and suitable, unless Musicato expressly agrees in writing to coordinate any such item. Musicato may suspend, delay or withdraw Services where safety or security concerns exist.

Clients shall not permit harassment, threats, discrimination, abuse, unlawful payments, bribery, fraud, weapons or prohibited substances at any event.

Clients shall promptly communicate material changes to event timing, venue, format, guest capacity or technical arrangements. Late or unsafe material changes may be grounds for additional charges, rescheduling, cancellation or refusal of performance.

Clients shall not bypass Musicato, divert bookings, avoid commissions, establish independent arrangements with Musicato-introduced Artistes, or solicit repeat bookings outside Musicato.

All clients, leads and opportunities introduced through Musicato remain Musicato Clients. This obligation applies during use of the Platform and for twenty-four (24) months after the final booking, account closure or last contact, whichever is later.

Musicato owns or controls its platform software, booking workflows, templates, brand assets, promotional materials and databases. No Client may copy, scrape, reverse engineer or exploit any part of the Application except as permitted by this Agreement.

Clients shall not use Musicato's name, logo, Artiste profiles or platform content for commercial promotion without Musicato's prior written consent.

Musicato may photograph, record, film or stream portions of performances for promotional, marketing or archival purposes. Clients with privacy or confidentiality requirements must notify Musicato in writing before the event.

Musicato may provide a suitably qualified replacement Artiste where illness, emergency or scheduling conflict requires. No refund is due solely because the originally proposed Artiste was substituted, where the performance is substantially delivered.

Subscribers shall maintain strict confidentiality concerning client identities, event details, pricing, booking terms and other non-public information disclosed through Musicato. These obligations survive termination.

Musicato may collect, process, store and use personal data necessary for account administration, verification, booking, payment processing, fraud prevention and platform improvement, in accordance with applicable data protection laws including the Nigeria Data Protection Act 2023.

Subscribers shall comply with venue regulations, security protocols and lawful instructions issued by Musicato or venue management. Musicato maintains zero tolerance for harassment, discrimination, fraud, bribery, identity fraud or misrepresentation, which may result in suspension, blacklisting or termination.

Complaints must be submitted in writing within seven (7) days of the relevant incident, with supporting evidence. Musicato may maintain ratings based on reliability, professionalism and complaint history, which may affect visibility and booking opportunities.

Musicato may impose written warnings, financial penalties, cancellation charges, blacklisting, termination or referral to law enforcement, proportionate to actual or anticipated losses.

The Services are provided "as is" and "as available". Musicato shall not be liable for the artistic quality, conduct or misconduct of any Artiste, venue conditions, or third-party payment failures.

Where Musicato is found liable, its total aggregate liability shall not exceed the amount actually paid for the specific engagement, or the platform fees actually received, whichever is lower.

The Client agrees to indemnify Musicato against claims, losses, damages, penalties, chargebacks and legal fees arising from the Client's breach, unlawful conduct, payment defaults, unauthorised direct dealings or violation of applicable law.

Neither party is liable for delay caused by circumstances beyond reasonable control, including natural disasters, pandemic, civil unrest, government action or platform outage. The affected party must notify the other as soon as reasonably practicable.

Subscribers may close their accounts provided there are no unresolved bookings, disputes or outstanding amounts. Musicato may suspend or terminate access immediately for breach, fraud, unlawful activity, or safety concerns.

Termination does not affect accrued rights, payment obligations, confidentiality, non-circumvention obligations or any clause intended to survive termination.

Disputes shall first be submitted to Musicato for internal review (15 days), then good-faith negotiation, then mediation via the Institute of Chartered Mediators and Conciliators (ICMC) under the Nigerian Arbitration and Mediation Act 2023, and finally binding arbitration seated in Lagos, Nigeria, in English, under a sole arbitrator.

This Agreement is governed by the laws of the Federal Republic of Nigeria.

Musicato may update this Agreement and platform policies from time to time; continued use after an update constitutes acceptance. This Agreement, together with any booking confirmation, invoice and platform policy, constitutes the entire agreement between Musicato and the Subscriber.

I certify that I have carefully read, understood, and voluntarily agree to be bound by the provisions of this Agreement.
